SECOM Smart Quotation - Terms and Conditions

1.0 Validity

The price stated in the overleaf quotation (“Quotation”) shall be valid for thirty (30) working days from the date of the Quotation, after which time it is subject to review and SECOM Smart (Malaysia) Sdn. Bhd. (“SECOM Smart”)’s written confirmation. A Quotation from SECOM Smart is not an offer to sell. A contract between the parties for the supply of goods and services as per the Quotation (“Contract”) shall only formed when the Customer accepted and signed the valid Quotation and SECOM Smart has endorsed the same. The Contract shall include those Terms and Conditions

2.0 Installation

The Installation shall commence within six (6) months from the date SECOM Smart endorsed the executed Quotation and subject to availability of the premises, the fulfilment of the Installation Requirements, the availability of the Goods and the fulfilments of the Payment Term. SECOM Smart may engage its authorized subcontractor(s) to perform the installation of the Goods.

3.0 Installation

Requirements a functioning communication line in the premises is required before the commencement date of the installation of the Goods. SECOM Smart’s technician/ authorized personnel may also conduct relevant verifications to determine any other installation requirements.

4.0 Coverage

Area The Installation Charges include Standard Wiring Services and is only applicable for premises less than 2,000 sq. ft. Additional Wiring Charges shall be levied for premises more than 2,000 sq. ft.

5.0 Title and Risks

The title to the Goods shall remain vested in SECOM Smart and shall not pass to the Customer until the purchase price for the Goods has been paid in full and received by SECOM Smart. The risk to the Goods shall be deemed to have passed to the Customer upon the receipt or acceptance of the same by the Customer.

6.0 Payment Term

Fifty percent (50%) upfront payment upon the Customer signed the Quotation and balance Fifty percent (50%) upon the completion of the installation.* If any amount payable under Company’s quotation is subject to Sales Tax and/or Service Tax or any other taxes in Malaysia, the Company is entitled to charge Sales Tax and/or Service Tax or any other taxes at the prevailing rate and the Company shall issue and deliver to the Customer, an invoice that complies with the requirements prescribed under the laws of Malaysia.

*If the Customer fails to pay any sum or sums due to SECOM Smart within the stipulated time, the Customer shall pay to the SECOM Smart interest thereon from the date due until the date of payment at the rate of One (1) percent (1%) per calendar month, without prejudice to any other rights which SECOM Smart may have against the Customer.

7.0 Mode of Payment

Within seven (7) days from the date of the receipt of the official invoice from SECOM Smart. Direct payment to SECOM Smart’s bank account only by way of cheque, credit card, debit card (with valid standing order or direct debit), CIMB Clicks Malaysia or Maybank2U only*. Strictly no payment to SECOM Smart’s salesperson or any third party and SECOM Smart shall bear no responsibility for any loss or damage suffered by the Customer due to Customer’s non-compliance with the Mode of Payment stipulated herein.

^ By agreeing to payment mode by credit card or debit card, the Customer authorizes SECOM Smart to debit the total amount and balance due to SECOM Smart and SECOM Smart shall not be held liable for any claims, damage, and expenses arising from the successful or the unsuccessful processing of the debit for any reason whatsoever.

*SECOM Smart’s bank account/ account number is Malayan Banking Berhad, 5143 6510 4763. Customer is advised to forward the proof of payment within three (3) days from the date of payment to SECOM Smart’s Finance Department via Email collection@secomsmart.com.my and cashapplication@secomsmart.com.my.Kindly indicate your full name, contact number, and invoice number in your proof of payment.

8.0 Warranty Period

Thirty six (36) months from the date of the SECOM Smart (wireless) Installation, SECOM Smart TP Link installation, YALE Digital Door Lock Installation as well as HIK Vision Cameras Installation or twenty four (24) months from the date of the HIK Vision Alarm Installation or Twelve (12) months from the date of the Door Access system Installation and any additional parts replacements upon expiration of initial warranty against manufacturing defects only and does not include defects due to Act of God, Customer/ third party’s negligence, power surge, fire, faulty fuses, battery replacement, wear and tear, damage, misuse or alteration or repair of the Goods without SECOM’s written approval and etc.*.

*Does not apply to Goods installed in the premises with existing wiring works, usage of existing equipment or non-standard SECOM Smart installation. SECOM Smart shall be under no liability under the above warranty (or any other warranty, condition or guarantee) if the total price of the Goods has not been paid by the due date for payment. During the Warranty Period, to the extent permitted by law, the Customer’s sole remedy with respect to breach of warranties set out in this clause will be to repair or replace (as the SECOM Smart may elect) any such defective Goods at SECOM Smart’s expense within a reasonable time. The replacement or repaired Goods shall be covered by the unexpired portion of the Warranty Period in respect of the original Goods or for a period of ninety (90) days, whichever is the greater. For equipment forming part of the Goods, which equipment is not manufactured by SECOM Smart, the original manufacturer’s warranty will apply. SECOM Smart’s liability for such equipment shall not exceed the liability of the manufacturer. The Warranty does not include SECOM Smart’s labour and transport costs which shall be charged to the Customer based on SECOM Smart’s standard rates

9.0 Liability

SECOM Smart’s cumulative liability in any claim under a contract, tort and/or any other cause of action arising out of and/or in connection with the Contract, shall be limited to the Total Amount or Fees listed in the agreed Quotation. In no event SECOM Smart shall be liable for any loss of profit, savings, data, use, confidence, or economic advantage, indirect, punitive, special, incidental or consequential damages in connection with or related to the Contract however arising, in respect of any misinterpretation, breach or terms or condition or liability in contract, tort or otherwise, whether or not SECOM Smart has been advised of the possibility of such loss.

10.0 Miscellaneous

SECOM Smart does not provide any plastering, re-painting or post installation rectification services and any additional goods or services beyond the agreed quotation will be charged accordingly.

11.0 Data Protection

The customer undertakes that he/she/it has read and understood the SECOM Smart’s Personal Data Protection Notice and in engaging the services of SECOM Smart, the Customer hereby consents to allowing the Customer’s personal data to be processed by SECOM Smart in accordance with SECOM Smart’s Personal Data Protection Notice.

12.0 Choice of Law and Dispute Resolution

The parties agree to work together in good faith to attempt to quickly settle disputes or differences that may arise pursuant to the Contract by consultation and negotiation prior to initiating any legal proceedings. The Contract shall be governed by the laws of Malaysia and the parties hereby submit to the exclusive jurisdiction of the Courts of Malaysia on any matter concerning the Contract.
